NOMINATING COMMITTEE
33.1
Terms of Reference
There shall be a Nominating Committee. Subject to the direction of the Board, the terms of reference of the Nominating
Committee are:
a) To recommend to the Board the composition of standing and ad hoc committees of the Board.
b) To conduct the election of a Chair and Vice-Chair of the Board and make recommendations to the Board on or before
the final meeting of the Board in each year.
c) To solicit and review nominations to fill external Governor vacancies and make recommendations to the Board
regarding potential external candidates on an annual basis, as required.
